Why are you doing a rights issue and what will the proceeds be used for?
The proceeds of the rights issue, together with the remaining net issue proceeds from the directed share issue, will be used to accelerate growth and broaden the revenue base within the core business, and to expand the game portfolio.
Who is entitled to subscribe for new shares in the rights issue?
Shareholders that are registered in the share register held by Euroclear Sweden AB on the record day, 22 March 2018, will have a preferential right to subscribe for new Class A and Class B shares in proportion to the number of shares that the holder already owns.
What do I have preferential rights to subscribe to in the rights issue?
As a registered shareholder, you have the right to subscribe for new shares in proportion to the number of Class A and Class B shares you held on the record date of 22 March 2018. Fifteen (15) subscription rights, of Class A respectively Class B, entitle the holder to subscribe for one (1) new share of Class A, respectively class B.
When is the subscription period?
The subscription period is expected to run from and including 26 March 2018, to and including 10 April 2018.
What is the subscription price?
SEK 7.50 per share, irrespective of share class.
What do I do to participate?
As a registered shareholder, you subscribe to shares by making a payment in accordance with instructions on the payment form (or if payment is made from abroad, according to a special payment instruction). If you want to subscribe to a lower number of new shares than you are entitled to, you must use the application form called “Subscription WITH subscription rights”. If you would like to subscribe for subscription of new shares without subscription rights, you must use the application form called “Subscription WITH subsidiary preferential right or WITHOUT subscription rights”. Both applications can be downloaded on Starbreeze and Carnegie’s website.
If you have your shares with a bank or a nominee, you should contact your bank or nominee in order to receive information how to subscribe for shares with preferential rights.
Can I subscribe to more shares than I have preferential rights to subscribe to?
You have two alternatives:
- You can purchase subscription rights on the stock exchange and use these to subscribe for new shares. You then take over the right to subscribe for new shares and subscribe according to the instructions on the application form “Subscription WITH preferential rights”.
- You may also apply to subscribe for shares without preferential rights. In this case, you should use the application form called “Subscription WITH subsidiary preferential right or WITHOUT subscription rights” which can be downloaded from Starbreeze and Carnegie’s website. If you have your shares with a bank or nominee, contact your bank or nominee in order to receive information about how to subscribe for shares without preferential rights.
Allotment of new shares for subscription without preferential rights will be done in accordance with the principles as set out in the “Terms and conditions and instructions” section of the prospectus given that the rights issue is not fully subscribed by subscription with preferential rights.
How do I know if I am allocated new shares?
On or near 13 April 2018, a contract note will be sent to the subscriber as confirmation of the allotment of new shares subscribed for without subscription rights.

What happens if I don’t participate?
Shareholders who choose not to participate in the rights issue will have their shareholdings diluted by approximately 6.25 per cent, but are able to financially compensate for this dilution by selling their subscription rights. Trading in subscription rights is expected to run from and including 26 March 2018, to and including 6 April 2018. Note that unexercised subscription rights will lapse and become worthless upon expiry of the subscription period.
